Public Offer
This document is a public offer by the Seller, addressed to an indefinite circle of persons, to conclude a contract for paid services on the terms below (under Articles 633, 634, 641 and 642 of the Civil Code of Ukraine).
Read the Offer in full before paying. Payment means that You accept all of its terms. Refunds are governed by a separate document — the Refund Policy.
1. General provisions
1.1.The Seller under this Offer is Sole proprietor (FOP) Oleksandr Kiian, tax number (RNOKPP) 3083518472, 17 Kovpaka St, Kyiv 03150, Ukraine (the Seller). The Seller is a sole proprietor who provides paid services connected with the EUROBRIDGE platform at https://eurobridge.online (the Platform). The Platform is administered by Charity Organization “Charity Fund Come Back to Us” (the Operator); the Operator does not accept payments under this Offer.
1.2.This Offer, together with the Terms of Use, the Privacy Policy, the Refund Policy and the Tariff published on the Platform, forms the contract between the Seller and the Customer (the Contract). The Contract is a public contract (Art. 633 of the Civil Code of Ukraine, the CCU) and an adhesion contract (Art. 634 CCU): its terms are set by the Seller in a standard form and can be accepted only as a whole.
1.3.The Offer takes effect on the date it is published on the Platform (shown in the heading as the edition date) and remains in force until withdrawn or replaced by a new edition. The Ukrainian version prevails; versions in other languages are provided for convenience.
1.4.The Offer does not govern: (a) Project Preparation and Support and Professional Services, which are provided only under a separate written contract; (b) the Platform Fee, which is governed by the Terms of Use, the Tariff or a separate contract; (c) free features of the Platform and charitable donations to the Operator (donations are not payment for services under this Offer).
2. Terms
Capitalised terms have the meaning given in the Terms of Use. In addition, in this Offer:
| Term | Meaning |
|---|---|
| Customer | A User who pays for a service under this Offer: an individual, a sole proprietor or a legal entity — on their own behalf or on behalf of the Organisation they represent. |
| Consumer | A Customer who is an individual ordering a service for purposes unrelated to their business or profession. |
| Service | A paid service under this Offer: a Subscription, an Add-on Service or an Investor's paid access (section “Subject of the Contract”). |
| Tariff | The list of Services, their content, prices, currency and periods, published on the pages “For business”, “For public partners”, “For investors” and in the cabinet (“Billing” section). |
| Invoice | An invoice for payment by bank transfer, numbered EB-YYYY-NNNNNN, generated at the Customer's request. |
| Payment Provider | A third-party payment service (including WayForPay, LiqPay or another one shown on the payment page) that accepts card payments on its own secure page. |
3. Subject of the Contract
3.1.The Seller provides, and the Customer pays for, the following Services in the scope and at the prices of the Tariff:
- Initiator Subscription — a paid period during which an Initiator (a Project Owner or a Public Partner) may list Projects and use the tools included in the chosen plan (the content of each plan is stated in the Tariff);
- Add-on Services — paid services on top of the Subscription (“Fast Start”, “Fast Investor Connection”, “Go International”, “We prepare it for you” — section “The “We prepare it for you” service” — and others published in the Tariff), in the scope described on the service page;
- Investor paid access — opening detailed Project cards (one at a time, as a pack of cards, or within an investor subscription) and other paid features for Investors published in the Tariff.
3.2.Prices, currency, periods and the content of Services are determined solely by the Tariff at the time of payment. The Seller may change the Tariff for the future; a change does not affect Services already paid for.
3.3.Services are provided electronically by opening access to the relevant features of the Platform for the Customer's Account or Organisation. No Service involves delivery of goods, and no Service guarantees views, Requests, investment or the conclusion of any transaction.
4. Acceptance and conclusion of the Contract
4.1.The Contract is concluded when the Customer accepts the Offer. Acceptance is the Customer's performance of the action stated in the Offer: payment for a Service — by bank card through the Payment Provider or against an Invoice (Art. 642 CCU: full and unconditional consent expressed by conduct).
4.2.Before paying by card, the Customer sees on the payment page a link to this Offer and to the Refund Policy; by paying, the Customer confirms that they have read and accept them. Requesting an Invoice is not acceptance in itself: until payment, no Contract is concluded.
4.3.The Customer confirms that: (a) they are entitled to conclude the Contract (age, legal capacity and, for an Organisation, authority to represent it); (b) the data they provide is accurate; (c) they are not subject to sanctions and do not use the Platform in breach of the Terms of Use.
4.4.The Seller may refuse to provide or may suspend a Service on the grounds set out in the Terms of Use (breach of the Terms, compliance and sanctions risks, inaccurate data); in that case amounts paid for a Service that was not provided are refunded under the Refund Policy.
5. Price and payment
5.1.The price of each Service is stated in the Tariff at the time of payment and does not change after payment. Prices exclude taxes unless stated otherwise; the Invoice is issued without VAT unless it states otherwise.
5.2.Payment methods:
- bank card — through the Payment Provider on its secure page. Card details are entered only on the provider's page: the Platform and the Seller do not receive or store them. If the charge currency differs from the Tariff currency, the amount and the exchange rate are shown on the payment page before confirmation;
- bank transfer against an Invoice — the Customer requests an Invoice in the cabinet (“Billing”) and pays it to the details stated in the Invoice, quoting the Invoice number in the payment reference. An Invoice is payable within 5 (five) bank days of its date (a bank day is a day on which banks in Ukraine carry out settlement operations); until payment is received, the Service is not provided.
5.3.The Seller's bank details (IBAN, bank) are stated in the Invoice and in the Customer's cabinet; they are not published on open pages. Contact for questions about Invoices and payment: info.no-spam [at] eurobridge [dot] online.
5.4.Payment is deemed made: for a card, when the Payment Provider confirms a successful transaction; for a transfer, when the funds are credited to the Seller's account. Fees charged to the Customer by their own bank or payment system are paid by the Customer.
5.5.Subscriptions are not renewed automatically and there are no recurring charges: each further period is paid by a separate action of the Customer.
6. Delivery of Services
6.1.Services are provided electronically. Access to the paid features is opened for the Customer's Account or Organisation after payment is confirmed: for a card, automatically after the Payment Provider confirms (usually within a few minutes); for payment against an Invoice, after the funds are credited, within 1 (one) Business Day.
6.2.The Customer sees the payment status and the activated access in the cabinet (“Billing”). If access has not been opened within that time, the Customer notifies the Seller using the contacts in “Contacts and Seller's details”, quoting the Invoice number or the payment details.
6.3.The term of a Subscription and of Add-on Services runs from the moment access is activated unless the Tariff states otherwise. Credits of a card pack are valid for 12 months from the payment date; an opened detailed Project card stays available to the Investor's Organisation without time limit, as stated in the Terms of Use.
6.4.A Service is deemed provided at the moment access is activated. Times stated in the description of Add-on Services are targets. A certificate of services rendered is drawn up at the request of a Customer that is a legal entity or a sole proprietor.
7. The “We prepare it for you” service
7.1.“We prepare it for you” is an Add-on Service under which the Seller's team of analysts and marketers prepares the Project card on the Platform from the Customer's data. The price and currency are those of the Tariff at the time the order is placed; the service is one-off. The order is placed in the cabinet (section “We prepare it for you”), where the Customer receives an Invoice or pays for the service by bank card.
7.2.What is included: a Project description for Investors (the idea, market, team and strengths); a financial model (costs, revenue, key figures); a payback calculation; a scaling plan and the investment needed. The result is a completed Project card (draft) in the Customer's cabinet; it is published after the Customer's review and moderation under the Terms of Use. The service does not guarantee publication, views, Requests or investment; the Score is determined under the Platform's methodology regardless of payment.
7.3.What the Customer provides: company registration details, the annual turnover and the main financial figures, a description of the Project, contact details, photos and documents (through the order form in the cabinet, within the Platform's upload limits). The Customer is responsible for the accuracy of the data and for holding the rights to the photos and documents provided. The data may be sent before or after payment; the work starts after payment.
7.4.Term: up to 10 (ten) business days after payment and receipt of the Customer's data sufficient to prepare the card. If data is missing, the term runs from the day the Customer provides the missing data at the Seller's request.
7.5.Refunds: before the work starts (order status “Paid — in the queue”) the Customer may cancel the service and receive a full refund of the amount paid under the Refund Policy. Once the work has started (status “In progress”) the amount is not refunded, except where the Seller failed to provide the service through its own fault or where the law expressly requires a refund.
8. Rights and obligations of the parties
8.1.The Seller undertakes to: provide the paid Services in the scope of the Tariff; keep the Customer's data confidential in line with the Privacy Policy; notify the Customer of material changes to the Offer and the Tariff as set out in this Offer; consider the Customer's enquiries.
8.2.The Seller has the right to: change the Tariff and the Offer for the future; temporarily suspend the Platform for maintenance; restrict or end the Customer's access on the grounds set out in the Terms of Use; require confirmation of the Customer's data and authority, including for sanctions and AML compliance.
8.3.The Customer undertakes to: pay for the Service in full; provide accurate data; not pass access to a paid Service to third parties other than persons within their own Organisation; use the Platform in line with the Terms of Use.
8.4.The Customer has the right to: receive the Service paid for; obtain information on the Tariff, payment and the state of access; claim a refund on the terms of the Refund Policy; file complaints.
8.5.The Contract may be terminated by agreement of the parties or in other cases provided by law and this Contract; termination does not release a party from the duty to return or pay amounts that arose before it.
9. Status of the Platform; no investment advice
9.1.The Platform is a catalogue of PPP, recovery and private investment projects and a controlled document exchange. The Platform, the Operator and the Seller are not a broker, an investment adviser, a financial institution or a crowdfunding platform; they do not raise or allocate funds, do not accept or hold participants' funds and are not a party to transactions between Users.
9.2.Information on the Platform (including the EUROBRIDGE Score, verification levels and Project descriptions) is for information only, is supplied by Initiators and is not investment advice, a recommendation or a guarantee. The Customer makes investment and business decisions independently and takes their own advice where needed. Paying for a Service does not affect the EUROBRIDGE Score, the verification level or the outcome of moderation.
9.3.Payment for Services under this Offer is a fee for access to Platform features; it is not an investment, a contribution to a project or payment for intermediation in raising finance.
10. Liability and limits
10.1.The parties are liable for non-performance or improper performance of the Contract under the law of Ukraine, subject to the limits in this section.
10.2.The Seller is not liable for: decisions, acts or omissions of Users and third parties; the accuracy and completeness of User Content; the outcome of using a Service (number of views, Requests, transactions concluded or funds raised); failures of networks, the Payment Provider, banks or other third parties; indirect loss and lost profit.
10.3.The Seller's total liability under the Contract is limited to the amount actually paid by the Customer for the Service to which the claim relates, unless mandatory law provides otherwise. This limit does not apply to intent, gross negligence, or cases where liability cannot be limited by law (including as regards Consumers' rights).
10.4.The parties are released from liability for full or partial non-performance caused by force majeure (including hostilities, cyber-attacks, power and communications outages, acts of public authorities), as set out in the Terms of Use.
11. Refunds
11.1.The terms, time limits and procedure for refunds are set out in a separate document — the Refund Policy, which forms an integral part of the Contract. In short: within 14 days of payment, money can be refunded for a Service that has not been used; once use has begun, no partial (pro-rata) refund is made unless the law requires it.
11.2.This provision does not limit a Consumer's rights under the Law of Ukraine “On Consumer Rights Protection”, including the right to withdraw from a distance contract in the cases and under the procedure set by law.
12. Personal data and payment security
12.1.The Seller processes the Customer's personal data to the extent needed to issue Invoices, record payments and provide the Services, in line with the Privacy Policy.
12.2.The Payment Provider processes bank card and other payment data independently, on its own page, under its own security rules and privacy policy. The Seller receives from the provider only the result of the operation, the amount and the payment identifier.
13. Claims and dispute resolution
13.1.The Contract is governed by the law of Ukraine. A Customer who is a Consumer keeps the rights granted by the mandatory rules of the law of their country of residence.
13.2.Before going to court, a party sends a written claim: the Customer to info.no-spam [at] eurobridge [dot] online or compliance.no-spam [at] eurobridge [dot] online, quoting the Invoice number or the payment details; the Seller considers the claim within 15 (fifteen) Business Days unless mandatory law sets a different period.
13.3.Disputes not settled through the claims procedure are resolved as set out in the section “Governing law and dispute resolution” of the Terms of Use; a Consumer may also apply to the court at their place of residence and to consumer-protection authorities.
14. Changes to the Offer
14.1.The Seller may amend the Offer. Each edition has a version number and a date. A new edition takes effect when it is published on the Platform; registered Customers are notified of material changes by e-mail or in the cabinet at least 14 days in advance unless the law requires otherwise.
14.2.Changes do not apply to Services paid for before the new edition took effect, during their paid period. Further payment after a new edition takes effect means its acceptance.
